Call to Order

1. The Chair, Constance McDaniel Hall, called the meeting to order on July 17 2013 to be conducted on the IAGW-CM list.

The following directors and officers were present: Steve Williams, Sharyl Ferrall, Constance McDaniel Hall, Cheryl Siebrass, Barbara Hug, Mark Christian, Linda Ziemann, Richard Harrison, Constance Diamond, Rich Lowe, Greta Thompson, Ralph Leonard, William Haloupek. A quorum was present.

The following director was absent: Karen De Groote (excused absence).

The President announced that Rich Lowe has submitted his resignation as the Treasurer effective after the election at this Board of Directors’ meeting.

2. Minutes of the Last Meeting

The Secretary, Mark Christian, presented the report:

The last annual meeting was held January 22, 2013 through February 10, 2013 during which changes to The Friends of IAGenWeb bylaws were approved as annotated at the web page: http://iagenweb.org/state/friends_of_iagenweb/articles-2013.htm

There have been no Board of Director meetings since the last annual meeting.

Without objection the President announced the acceptance of the minutes as posted.

3. The Treasurer's Report

The Treasurer, Rich Lowe, presented the report:

Our financial reports are based upon calendar year reporting with the IRS so the best opportunity to view full year to year income and expense comparisons is to go to the link below and click on the Calendar Year 2012 link.

The current year financials are updated through the 6 months just ended, June 30, 2013, and can be viewed by clicking on the June 30, 2013 link.

We are in good shape financially with $13,237.46 in the bank and paypal account. Yet another year has passed without any funding requests from the IAGenWeb leadership other than the $57 per month server expense.

Without objection the President announced the acceptance of the Treasurers Report.

4. Authorization of funding

Motion by Greta Thompson to approve the funding for running the IAGenWeb.org server at the current level of $59.95 per month through July 2014. Motion seconded by Steve Williams.

Votes For: Constance McDaniel Hall, William Haloupek, Steve Williams, Mark Christian, Ralph Leonard, Linda Ziemann, Constance Diamond, Richard Harrison, Gail Kilgore, Barbara Hug, Greta Thompson, Sharyl Ferrall, Cheryl Siebrass, Rich Lowe.

Votes Against: None; Abstentions: None; Not voting: None

New Business

5. Appointments

Motion by Ralph Leonard to confirm the following appointments made by the President, Constance McDaniel Hall, with the positions beginning on the day of confirmation by the Board in this 2013 Board of Directors’ meeting and end when the next appointed positions are confirmed by the Board in the 2014 Board of Directors’ meeting for Secretary and Director-at-Large, and in the 2016 Board of Directors’ meeting for Treasurer. Motion seconded by Steve Williams

Mark Christian as Treasurer for the position's three year;

Barbara Hug as Secretary one year term; and

Cheryl Siebrass as Director-at-Large for a one year term.

Votes for: Constance McDaniel Hall, William Haloupek, Steve Williams, Ralph Leonard, Linda Ziemann, Constance Diamond, Richard Harrison, Barbara Hug, Greta Thompson, Sharyl Ferrall, Gail Kilgore, Cheryl Siebrass, Rich Lowe, Mark Christian. Votes Against: None; Abstentions: None; Not voting: None

6. Closing Comments and Adjournment

· Numerous people thanked Rich Lowe for his work as treasurer of Friends of IAGenWeb

· Steve Williams brought attention a couple of special areas of donation that have been made to Friends of IAGenWeb which can be viewed at http://iagenweb.org/state/friends_of_iagenweb/membership.htm

· Without objection President Constance Hall declared the meeting adjourned on July 25, 2013.
