The Chair, Barbara Hug, called the meeting to order on July 7, 2007 to be conducted on the IAGEN-EXEC list.

The following directors were present: Karen De-Groote-Johnson, Richard Harrison AKA Isaiah Harrison, Don Kelly AKA Donal O'Kelly, Kelly Boldan, Greta Thompson, Sharyl Ferrall, Gail Kilgore, Barbara Hug, Mark Christian, Rich Lowe, and Loren Toomsen.

I would like us to conduct monthly meetings if no one can see a reason
for not having an ongoing meeting.  This will enable us to conduct
business when we need to and for the purpose of record keeping the
minutes, we can adjourn at the end of the month and start again the
first of the month.  The only thing we will need to keep in mind is if
there is a motion on the floor, we must finish the motion before talking
about another topic.  Please let me know if you have any problem with
this type of meeting set up.

Announcements

Barbara Hug announced she accepted the position of Tresurer of the Iowa Genealogical Society on August 18, 2007.

On September 18, 2007 Karen announced procedures she will follow in conducting the meeting.

From now on I will not ask for anything under general consent unless it is the opening and closing of this meeting. If a motion goes unseconded for more than 24 hours it will die on the floor and I will recognize it as such. Please make sure your motions and seconds are received by the chair or this is going to be an extremely long year.

New Business

• The Chair called for general consent to appoint Rich Lowe as Representative at Large for the term July 1, 2007 through June 30, 2008. There were no objections.

• The Chair called for general consent to appoint Mark Christian as Secretary for the term July 1, 2007 through June 30, 2008. There were no objections.

• The Chair called for general consent to appoint Barbara Hug as Treasurer for the term July 1, 2007 through June 30, 2010. There were no objections.

• It was moved by Richard Harrison and seconded by Greta Thompson that the treasurer be instructed to pay the server bill immediately. Because of the short time frame involved, Richard agreed that general consent could be given for approval. The Chair asked for general consent. There were no objections.

• It was moved by Barbara Hug that the Articles of Association be changed from:

  Article III: Office
  
  The principal office of Friends of IAGenWeb shall be maintained at
  1200 Ninth Avenue North, Clear Lake, Iowa.
  
  to:
  Article III: Office
  The principal office of Friends of IAGenWeb shall be the address of
  the current appointed treasurer.
  

  The motion died for lack of a second.

• It was moved by Barbara Hug that the Articles of Association be updated with:

  Article V: Finances Section 2: E. Reports of receipts and expenditures from Friends of IAGenWeb funds shall be given by the Treasurer at each regular business meeting. Such reports, however, shall be not less than quarterly. If regular business meetings do not occur within the allotted time, such reports shall be posted on-line at: http://iagenweb.org/state/friends_of_iagenweb/budget at the Friends of IAGenWeb Operations web site.

• It was moved by Greta Thompson and seconded by Sharyl Ferrall that the August server bill be paid.

• It was moved by Barbara Hug and seconded by Sharyl Ferrall that For a trial period of one year the Friends of IAGenWeb will add a shopping site to its public website at http://iagenweb.org/state/friends_of_iagenweb/. The motion was restated and moved by Barbara Hug and seconded by Greta Thompson that the Friends of IAGenWeb add a shopping site to the public Friends web site at http://iagenweb.org/state/friends_of_iagenweb/ for a trial period of one year with the first year's fee of $60.00 to be paid by Barbara Hug.

• It was moved by Barbara Hug and seconded by Mark Christian that the board of the Friends of IAGenWeb authorize the treasurer to pay the monthly server bills of $149.00 for September, October, November, December, January and February with the $1,038.91 that is in the PayPal account as of September 13, 2007. The Chair asked that this be approved by General Consent. The motion failed to gain general consent and no vote was called for.

• It was moved by Richard Harrison and seconded by Greta Thompson that the board of the Friends of IAGenWeb authorize the treasurer to pay the monthly server bills of $149.00 for September, October and November.

• It was moved by Richard Harrison and seconded by Don Kelly that the board approve the following message for posting on the IAGen list:

  "IAGenWeb relies on Friends of IAGenWeb, and Friends of IAGenWeb needs your help!

  "Friends of IAGenWeb (a 401c3 corporation) was formed with the sole purpose of providing money for IAGenWeb. One way we hope to do that is by finding one or more corporate sponsors who would be willing to provide funds to keep the servers humming, create new and better software, and meet the other financial needs of the organization.

  "What we are hoping to find is an IAGenWeb member or the spouse, relative or friend of a IAGenWeb member or an Iowa researcher or a spouse, relative or friend of an Iowa researcher who has sales/marketing skills and can advise us in developing a plan to contact potential sponsors and work to carry out that plan, providing some training for key board members along the way. The person would be a volunteer.

  "The person should be able to advise us about what we need to do to prepare to look like a promising candidate to the corporations, what kind of requests are likely to be considered seriously and dos and don'ts of making our presentation. It may be that we can find someone who would help with the planning and training, but who would not be able to do the direct contacting. In that case a board member or IAGenWeb member who lives in the appropriate place could be called on to do the actual contact.
